Oluma Workspace Terms of Service
These Terms of Service ("Terms") govern the use of services provided by Oluma Workspace, LLC ("Oluma," "we," "our," or "us"), including consulting engagements, diagnostic assessments, advisory services, workshops, digital tools, and related materials.
By engaging Oluma services, participating in an Oluma program, or accessing any Oluma materials, you ("Client," "Organization," or "Participant") agree to these Terms.
1. Scope of Services
Oluma provides organizational alignment, leadership development, and change acceleration services, including but not limited to:

  • Organizational diagnostics and assessments
  • Leadership alignment facilitation
  • Workshops, advisory sessions, and coaching
  • Organizational transformation guidance
  • Reports, analytics, and strategic insights
Delivery Methods
  • Live workshops
  • Virtual sessions
  • Digital assessments
  • Written reports and recommendations
  • Consulting engagements
  • Licensed frameworks and tools
Specific deliverables, timelines, and fees will be outlined in separate Statements of Work (SOW) or engagement agreements.
ALIGN Diagnostic Sprintâ„¢
The ALIGN Diagnostic Sprintâ„¢ is a short-term diagnostic engagement designed to assess organizational alignment and change readiness.
Organizational Alignment Assessments
Evaluate the current state of alignment across teams and leadership.
Leadership Interviews
In-depth conversations with key leaders to surface priorities and gaps.
Stakeholder Feedback
Gather perspectives from across the organization.
Diagnostic Analysis
Synthesize data into meaningful organizational insights.
Insight Reports
Clear, actionable documentation of findings.
Strategic Recommendations
Guidance to inform next steps and priorities.
The Sprint provides diagnostic insight and strategic guidance and does not guarantee specific business outcomes.
ALIGN Change Acceleratorâ„¢
The ALIGN Change Acceleratorâ„¢ is an 8-week structured engagement designed to support organizational or departmental alignment and change implementation.

  • Check
The program may include organizational and team assessments, alignment workshops, leadership facilitation, strategy and implementation guidance, action planning, and progress checkpoints.
Client Requirement
Participation requires reasonable collaboration and availability from the Client organization.
Oluma's Role
Oluma provides guidance and facilitation, but implementation responsibility remains with the Client.
Client Responsibilities
Clients agree to the following obligations to ensure the effectiveness of services:
  • Provide Accurate InformationProvide accurate organizational information to support diagnostic and advisory work.
  • Ensure ParticipationEnsure participation of relevant leadership and stakeholders throughout the engagement.
  • Timely ResponsesRespond to assessment requests in a timely manner.
  • Respect ConfidentialityRespect confidentiality of assessment participants at all times.
  • Internal Use OnlyUse Oluma materials only for internal organizational purposes.
Failure to provide required participation or information may affect the effectiveness of services.
Assessments and Diagnostic Tools
Oluma may utilize diagnostic tools and assessment instruments.
These tools are used for organizational insight and leadership reflection, not for clinical, legal, or psychological diagnosis. Assessment results are intended for strategic and developmental use only.
Confidentiality
Oluma treats all client information as confidential.

  • Proprietary business information
  • Assessment responses
  • Leadership discussions
  • Internal organizational data
Exceptions Apply
  • With client consent
  • When required by law
  • When aggregated and anonymized for research or benchmarking
Individual assessment responses may be aggregated and anonymized in reports.
Intellectual Property
All Oluma materials remain the intellectual property of Oluma Workspace, including:

  • ALIGN Change Acceleratorâ„¢ Methodology
  • Reports and Diagnostic Models
  • Training Materials
  • Assessment Instruments
  • Organizational Frameworks, Worksheets, and Facilitation Tools
Clients receive a non-transferable license for internal use only.
Clients may not reproduce Oluma frameworks, distribute materials externally, resell or license Oluma intellectual property, or create derivative frameworks based on Oluma models without written permission.
Fees and Payment
Fees for services will be specified in the engagement agreement or Statement of Work.
Payment Terms
Unless otherwise specified, invoices are payable within 15 days of issuance.
Late Payments
Late payments may incur interest charges. Oluma reserves the right to pause services for overdue accounts.
Non-Refundable Fees
Fees are generally non-refundable once services begin.
Limitation of Liability
Oluma provides consulting and advisory services designed to support organizational improvement.
Important Acknowledgments
  • Business outcomes cannot be guaranteed
  • Organizational decisions remain the responsibility of the Client
Oluma Shall Not Be Liable For
  • Indirect or consequential damages
  • Loss of revenue or profits
  • Business interruption
  • Decisions made by Client leadership
To the fullest extent permitted by law, Oluma's maximum liability shall not exceed the fees paid for the specific engagement.

Not Legal Advice
Oluma services do not constitute legal advice of any kind.
Not Financial Advice
Oluma services do not constitute financial advice or guidance.
Not Clinical Services
Oluma services do not constitute psychological or clinical services.
Not Employment Law Guidance
Oluma services do not constitute employment law guidance.
Clients should consult appropriate licensed professionals when needed.
Cancellation and Rescheduling
Workshop and facilitation sessions may be rescheduled with reasonable notice.
Short-Notice Cancellations
If the Client cancels with less than 5 business days notice, Oluma may charge a rescheduling fee.
Repeated Cancellations
Repeated cancellations may impact engagement timelines and overall program effectiveness.
Oluma's Right to Reschedule
Oluma reserves the right to reschedule sessions if necessary.
Termination
Either party may terminate an engagement:
Termination Process
  • With written notice
  • According to the terms of the Statement of Work
Upon Termination
  • Work completed remains billable
  • Intellectual property rights remain with Oluma
  • Confidentiality obligations remain in effect
Data and Privacy
Oluma may collect and process data necessary to deliver services, including:
Assessment Responses
Responses collected through diagnostic and assessment instruments.
Leadership Feedback
Qualitative and quantitative feedback gathered from leadership participants.
Organizational Information
Contextual data provided by the Client to support service delivery.
Data will be handled in accordance with Oluma's Privacy Policy.
Oluma may retain anonymized data for benchmarking, research, and improvement of diagnostic models.
Modifications to Terms
Oluma may update these Terms from time to time. Updated versions will be posted on the Oluma website or provided during engagement agreements. Continued participation in services constitutes acceptance of updated terms.
Governing Law
These Terms shall be governed by the laws of the State of Virginia, without regard to conflict of law provisions.
